Advantages are growing for you! We are excited to announce that Preferred Community Bank (PCB) is merging with Achieva Credit Union (ACU). Wed like to take this opportunity to welcome you as a new member of Achieva Credit Union! We look forward to serving your area and providing you with good financial products and services.

Merger Date
The merger transaction is scheduled to be completed on or before September 30, 2018, pending regulatory approval. At closing, when ACU acquires PCB, all customers of the bank will become members of ACU. There will be no additional changes in your account structure or servicing until systems integration which is scheduled for a future date. You will be provided a minimum of thirty (30) days prior notice to any scheduled account changes. The merger transaction is subject to the regulatory approval of the Federal Deposit Insurance Corporation ("FDIC") and National Credit Union Administration ("NCUA").

On the day of consolidation, ACU will assume all of PCBs deposits and loans. You will become a member of ACU on the day of consolidation provided that you sign and return the Opt-In Agreement to us by that date. The Opt-In Agreement represents your decision to become a member of ACU. We recommend you sign and return the Opt-In Agreement as soon as possible by following the instructions provided on it.

NEW-OPT IN AGREEMENT

If you are currently a PCB depositor, ACU will convert your current account(s) at PCB to a comparable account(s) at ACU at the time of consolidation. For any loan customers without a deposit relationship with PCB, ACU will make the first $1 deposit into your savings account to ensure your ownership of at least one membership share. In either case, to make this transition, ACU will waive its customary $15 membership fee for all PCB customers.

ACU membership is open to individuals, trusts, associations, organizations and legal entities residing or employed in Lee, DeSoto, Collier, Charlotte, Sarasota, Manatee, Pinellas, Pasco, Hillsborough, and Hernando counties, immediate family members of such, defined to include parents, children, spouse, or surviving spouse of the member, or any other relative by blood, marriage, or adoption even though such individuals do not reside in the same household with the member; and associations and organizations of such persons and employees of these associations and organizations, and dues paying members of The Achieva Foundation, up to a maximum of 15,000 members each calendar year.
Additionally, ACU is awaiting approval of our request to expand our field of membership to include Hardee, Highlands, Glades, Hendry and Monroe counties. For PCB customers that do not otherwise meet ACUs eligibility requirements, ACU will waive the $10 donation for The Achieva Foundation.

What You Need To Do
Please sign and return the opt-in agreement by December 31, 2018. If a PCB depositor does not sign and return the Opt-In Agreement to ACU by this date, ACU will contact you to discuss options available to make a smooth transition out of ACU. Prior to that date, ACUs low income designation will permit ACU to temporarily maintain your deposit account, which will be insured by NCUA as described below. If a PCB loan customer without a deposit account does not sign and return the Opt-In Agreement by that date, ACU will sell that customers loan to a third party.

Deposit Insurance (FDIC and NCUA)
After closing, your deposits will be insured by the NCUA and not by the FDIC. All of your current deposits will continue to be federally insured up to $250,000 for each account category through the NCUA who administers the NCUSIF. We have included a chart comparing FDIC and NCUA insurance coverage with this letter.

PCB is required by 12 CFR 307.3 to inform you that the insured status of PCB, under the provisions of the Federal Deposit Insurance Act, will terminate after its sale to ACU is consummated. Insured deposits in PCB will continue to be insured by the FDIC, to the extent provided by law, until PCBs insured status is terminated. PCB will not accept, and the FDIC will not insure, any new deposits or additions to existing deposits made by you after the termination date. No Interruption in Service
All PCB locations will remain open to continue serving you during normal business hours, with employees you know from the bank serving you as employees of ACU. In addition, all direct deposits, automatic withdrawals, debit cards, bank ATMs, safe deposit boxes, online banking, electronic or paper statements, items sent by mail and paper based checks will continue to be processed as usual.

Following the consolidation of data processing systems, to be completed by early 2019, you will also have access to ACUs 23 branch locations, which range from Estero, north to New Port Richey. You will have access to all of the products and services offered by ACU, listed on the next page, and on our website at www.achievacu.com. ACU intends to offer the products and services you currently enjoy with minor exceptions due to system differences. Additionally, ACU has products and services not currently offered by PCB.
